1. Acceptance of This Agreement
This Seller Agreement (the "Agreement") is a binding contract between you ("Seller", "you", "your") and Cre8ive Innovations LLC, a Texas limited liability company operating the Bookshock.ai marketplace ("Bookshock", "we", "our"). By clicking "I Agree" during onboarding, creating listings, or accepting payouts, you agree to every section of this Agreement and to our Terms of Use and Privacy Policy, each of which is incorporated by reference.
You represent that (a) you are at least 18 years old, (b) you have legal authority to bind the business or entity you are registering, and (c) all information you provide is true and complete.
2. The Marketplace
Bookshock.ai is a multi-vendor marketplace for new and used books powered by MedusaJS, Mercur, Stripe Connect, and our AI assistant Tez. Bookshock operates the platform; you remain the merchant of record and seller of the books you list. Bookshock is not a reseller, consignee, or party to your sale contract with buyers.
3. Seller Eligibility and Verification
- You must complete email verification, store profile, shipping location, an active subscription, and Stripe Connect Express onboarding before submitting for review.
- You must pass our review process before your listings become publicly visible. We may approve, reject, or request additional information at our sole discretion.
- You authorize us to verify your identity, business registration, tax information, and banking details through Stripe Identity, Stripe Connect, and public records.
- We may suspend your account if any information becomes inaccurate or unverifiable.
4. Subscription Plans, Commission, and Listing Limits
Selling on Bookshock requires an active monthly subscription. Subscription fees are billed in advance, non-refundable, and charged until you cancel. Commission is deducted from each completed sale at payout time via Mercur's commission module.

You acknowledge and agree that:
- Commission is calculated on the item subtotal (pre-tax, pre-shipping) of each sold item and is withheld by Stripe Connect at settlement.
- Reaching your listing cap will block creation of new listings until you delete listings or upgrade your plan.
- Downgrading your plan does not automatically remove listings above the new cap; however, no new listings may be created until you are below the cap.
- Cancelling or failing to pay your subscription will disable new listing creation and remove your products from the public marketplace.
- We may adjust plan pricing, commission rates, or listing limits with at least sixty (60) days' written notice by email. Continued use of the marketplace after the effective date constitutes acceptance.
5. Payment Processing and Payouts
- All buyer payments are processed through Stripe Connect. You must maintain a Stripe Connect Express account in good standing.
- Bookshock's commission rates (8% / 10% / 12% depending on plan) are inclusive of Stripe payment processing fees. You will not see a separate Stripe fee deduction on your Bookshock payouts — the commission we withhold already covers the Stripe processing cost we pay on your behalf.
- Payouts are made automatically by Stripe according to the payout schedule on your Stripe Express account (typically 2 business days after order capture).
- When you choose to buy a shipping label through Bookshock's in-panel integration, Bookshock purchases that label on your behalf from its own carrier account. The actual carrier cost of the label (plus any per-label surcharge) is deducted from your payout balance at the time the label is generated. These deductions are itemized in your payment reports alongside commission.
- Chargebacks, refunds, and disputed transactions are debited from your balance or future payouts. You are responsible for any negative balance.
- We may place a hold on payouts if we reasonably suspect fraud, policy violations, excessive chargebacks, or unfulfilled orders.
6. Taxes
- You are solely responsible for determining, collecting, reporting, and remitting all taxes (income, sales, use, VAT, GST, etc.) arising from your sales, except where Bookshock is required by law to act as a marketplace facilitator.
- Bookshock currently collects and remits sales tax in Texas only. For all other jurisdictions, you remain the taxpayer of record.
- Stripe will issue you a Form 1099-K where required by U.S. federal and state law based on your payout volume. You are responsible for filing your own income tax returns.
- You must provide accurate W-9 or W-8BEN information through Stripe. Failure to do so may result in backup withholding.
7. Listing Standards
- Every listing must include an accurate ISBN, title, edition, printing (where applicable), and condition grade (New / Like New / Very Good / Good / Acceptable per standard trade definitions).
- You must not list: counterfeit books, unauthorized reproductions, library discards not clearly marked as ex-library, books you do not have on hand or cannot acquire within your stated handling time, or items prohibited by applicable law.
- Descriptions, cover images, and condition notes must reflect the actual item shipped. Using stock cover images is acceptable only if the edition matches exactly.
- Pricing must be in U.S. dollars. You may not engage in price manipulation, coordinated pricing, or artificial scarcity.
- You may not include external URLs, contact information, or promotional content intended to divert buyers off-platform inside listing titles, descriptions, or photos.
8. Order Fulfillment
- You must ship orders within your stated handling time (default 2 business days) and provide a valid tracking number.
- Shipping rates and delivery estimates you display to buyers must be accurate. The price a buyer sees at checkout is what Bookshock collects; "Free Shipping" means no shipping charge is added to the buyer's order.
- For each order you may choose between two fulfillment options in the vendor panel: (a) Buy Shipping Label through Bookshock's integration, where Bookshock purchases the label on its carrier account and deducts the cost from your payout per Section 5, or (b) Enter Tracking Manually, where you ship the order using your own carrier arrangements and provide us with the carrier and tracking number. Option (b) results in no label deduction from your payout.
- Bookshock's shipping-label integration may be used only to fulfill active Bookshock orders. You may not use it to ship personal items, off-platform orders, or on behalf of third parties. Misuse is grounds for immediate termination under Section 11, and Bookshock may recover any improperly purchased label costs from your payout balance or by any other lawful means.
- You must not cancel orders due to pricing errors, inventory miscounts, or a better offer elsewhere. Repeated unexcused cancellations are grounds for suspension.
- Lost, damaged, or undelivered orders are your responsibility; you must refund or replace at your cost unless the buyer is at fault.
9. Returns and Refunds
- You must honor Bookshock's baseline return policy: buyers may return items in the condition received within 30 days of delivery for any reason.
- You must respond to return requests within 2 business days and issue refunds within 5 business days of receiving the returned item.
- If you do not respond to a return request within 5 business days, Bookshock may approve the return on your behalf and refund the buyer from your balance.
- You may offer a more generous return policy, but you may not offer a less generous one.
10. Our Right to Review, Audit, and Moderate
You expressly grant Bookshock the rights set out in this Section. These rights are essential to protecting buyers and the integrity of the marketplace.
You acknowledge and agree that Bookshock may, at any time, without prior notice:
- Review, monitor, and audit your listings, messages to buyers, order history, cancellation rate, return rate, fulfillment performance, chargebacks, ratings, and payout records;
- Access transaction data, shipping records, inventory data, and any other information you submit to or generate on the platform, for the purposes of quality control, fraud prevention, compliance, and dispute resolution;
- Remove, hide, or edit listings that violate this Agreement, are inaccurate, or harm buyer experience;
- Contact buyers directly regarding orders you have not fulfilled or returns you have not processed;
- Share your information with law enforcement, tax authorities, courts, payment processors, or other third parties when required by law or reasonably necessary to enforce this Agreement.
11. Suspension and Termination
We may suspend, restrict, or terminate your seller account, your subscription, and your access to the vendor panel, immediately and without refund of subscription fees, for any of the following:
- Material breach of this Agreement, the Terms of Use, or our listing policies;
- Failure to maintain an active subscription or Stripe Connect account in good standing;
- A pattern of late shipments, cancellations, returns, chargebacks, or buyer complaints that we reasonably determine harms buyer experience;
- Fraud, misrepresentation, or attempts to circumvent commission, fees, or platform policies;
- Any conduct that we reasonably determine poses legal, regulatory, reputational, or financial risk to Bookshock or to buyers;
- Any reason at our sole discretion, with thirty (30) days' notice for a without-cause termination.
On termination: (a) your listings will be removed from the marketplace, (b) in-flight orders must still be fulfilled or refunded, (c) any funds owed to buyers may be withheld from your payouts, and (d) your subscription will not be prorated or refunded.
12. License to Content
You grant Bookshock a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and create derivative works of your listings, photos, descriptions, and store branding for the purpose of operating, marketing, and promoting the marketplace, including within our AI assistant Tez and in advertising. This license survives termination solely to the extent necessary to fulfill in-flight orders and meet legal obligations.
You represent that you own or have the right to use all content you upload.
13. Confidentiality
Non-public buyer data (names, addresses, order contents, payment details) is shared with you solely to fulfill orders. You must not retain, sell, share, or use such data for any purpose other than order fulfillment and legally required record-keeping, and must handle it in accordance with applicable privacy law.
14. Representations and Warranties
You represent and warrant that: (a) you have the legal right to sell every item you list; (b) your listings do not infringe any third party's intellectual property, publicity, or privacy rights; (c) you comply with all applicable laws including consumer protection, tax, export control, and anti-money-laundering laws; and (d) all information you provide is accurate.
15. Indemnification
You agree to indemnify, defend, and hold harmless Cre8ive Innovations LLC, its affiliates, and their officers, directors, employees, and agents from any third-party claims, damages, losses, liabilities, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your listings, products, or sales; (b) your breach of this Agreement; (c) your violation of law; or (d) your infringement of any third-party right.
16. Limitation of Liability
To the fullest extent permitted by law, Bookshock's total aggregate liability to you arising out of or related to this Agreement or the marketplace shall not exceed the greater of (a) the total subscription fees you paid to Bookshock in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Bookshock shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost sales, or loss of goodwill, even if advised of the possibility of such damages.
17. Changes to This Agreement
We may update this Agreement at any time. Material changes (changes to commission, fees, listing caps, suspension rights, or liability) will be notified to you by email at least sixty (60) days before they take effect, and you will be required to re-accept the updated Agreement inside the vendor panel. Non-material changes take effect when posted. Continued use of the marketplace after the effective date constitutes acceptance.
18. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Texas, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Dallas County, Texas, and judgment on the award may be entered in any court of competent jurisdiction. You and Bookshock each waive any right to a jury trial and to participate in a class action.
19. Miscellaneous
- Independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and Bookshock.
- Assignment. You may not assign this Agreement without our prior written consent; we may assign it to any affiliate or successor.
- Severability. If any provision is held unenforceable, the remainder of this Agreement remains in effect.
- Entire agreement. This Agreement, together with the Terms of Use and Privacy Policy, is the entire agreement between you and Bookshock regarding the marketplace.
- Survival. Sections 5 (payouts owed), 6 (taxes), 10 (audit), 11 (termination effects), 12 (license), 13 (confidentiality), 14–16 (reps, indemnity, liability), and 18 (governing law) survive termination.
